1. Scope of Application

(1) These General Terms and Conditions (GTC) apply to all business relationships between the company TELEDTV, owned by Thomas Henrichs, based in Neuss, Germany (hereinafter referred to as the “Provider”), and customers who use the services offered via the website www.teledtv.de.

(2) The GTC apply to the provision of digital services, including digital strategy, media campaigns (Pay-Per-Click, PPC), website creation, content creation, website indexing – enabling search engines to capture content in their databases and display it in relevant search queries – search engine optimization (SEO, organic optimization), webmail setup, customer analysis, needs assessment, website and campaign analyses, reporting, optimization of media campaigns, AI automation for social media, digital-out-of-home advertising (DOOH), programmatic advertising (automated real-time buying and selling of digital ads), as well as advertising material creation.

(3) Deviating or supplementary agreements must be made in writing.

2. Conclusion of Contract

(1) The offers presented on the website are non-binding. By placing a written or electronic order (e.g., via email or an online form), the customer submits a binding offer.

(2) The contract is concluded upon the explicit acceptance by the Provider, which is given in writing or via email.

(3) The first consultation is offered free of charge.

(4) The prices and service descriptions valid at the time of the order shall apply.

3. Prices and Payment Terms

(1) The Provider is a small business operator in accordance with § 19 UStG and therefore does not charge VAT.

(2) Prices for services are calculated individually based on the customer’s requirements and communicated during the consultation.

(3) Advance Payment Requirement for Media Campaigns:
For media campaigns and additional services provided by third-party providers, the entire budget is due in advance, as payments to external service providers (e.g., marketers, agencies) are required.

(4) Payments can be made via bank transfer or PayPal.

(5) The Provider reserves the right to commence work only after full payment has been received.

4. Scope of Services and Modifications

(1) The Provider delivers services as agreed upon in the specified scope of work.

(2) Modification Requests After Order Confirmation:

  • Minor adjustments are included in the agreed price.

  • Major changes or additional services will be billed separately.

(3) If delays occur due to the customer (e.g., missing content, late approvals), the delivery timeline may be adjusted accordingly.

5. Right of Withdrawal for Consumers

(1) Consumers have a statutory 14-day right of withdrawal, provided that no service has been rendered.

(2) The right of withdrawal expires if the customer explicitly agrees that the Provider may begin providing the service before the withdrawal period ends.

(3) The withdrawal policy and withdrawal form are available on the website.

6. Liability and Warranty

(1) The Provider is fully liable for damages resulting from injury to life, body, or health caused by intentional or negligent conduct.

(2) For all other damages, the Provider is only liable in cases of gross negligence or intentional misconduct.

(3) The Provider is not liable for economic losses resulting from advertising campaigns or the success of the implemented measures (e.g., SEO, PPC, DOOH, Programmatic Advertising).

(4) External software, plugins, or third-party services are subject to the respective terms and conditions of their providers.

7. Copyright and Usage Rights

(1) All created content, websites, campaigns, and designs remain the property of the Provider until full payment has been received.

(2) The customer receives a simple, non-transferable usage right for the delivered services.

(3) Sharing or reselling the created content is only permitted with written approval from the Provider.

8. Data Protection

(1) The Provider is committed to protecting personal data in accordance with applicable data protection laws (GDPR).

(2) A detailed privacy policy is available on the website.

9. Jurisdiction and Final Provisions

(1) The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The jurisdiction is Neuss, insofar as permitted by law.

(3) If any provision of these GTC is found to be invalid, the validity of the remaining provisions shall remain unaffected.
